Please read these Terms of Use carefully before accessing or using the website and services operated by Artsy Traders LLP (“Artsy Traders”, “we”, “us” or “our”). By accessing our website or engaging with our services, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, please discontinue use immediately.Nothing in these Terms removes or restricts your statutory rights under UK law.

Artsy Traders LLP is a limited liability partnership registered in England and Wales. We operate as an art investment company, facilitating the acquisition, sale and advisory of fine art and investment-grade artworks on behalf of clients. Our registered address and full company details are available upon written request and are also accessible via Companies House.Artsy Traders LLP is registered with HM Revenue & Customs (HMRC) as an Art Market Participant (AMP) under the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017, as required by law for art businesses operating in the United Kingdom.

2.  Scope of These Terms

These Terms of Use govern your access to and use of:
– Our website and any related digital platforms;
– Information, content and materials published by Artsy Traders;
– Any communications, proposals or advisory services we provide;
– Any transactions, agreements or commercial relationships arising from your engagement with us.

These Terms apply to both consumers (individuals acting outside a trade or business) and business clients. Where you are a consumer, the Consumer Rights Act 2015 and other applicable UK consumer protection legislation apply in addition to these Terms, and shall prevail in the event of any conflict.

3. Eligibility

Our services are intended for individuals and entities who are at least 18 years of age and have the legal capacity to enter into binding agreements. By using our services, you represent and warrant that you meet these requirements.

4. Investment Risk Disclaimer

4.1 Art as an Alternative Asset
Art and collectibles are alternative investments. The value of artworks can increase or decrease and is subject to market conditions, provenance, authenticity, condition, and demand. Past performance of any artwork or artist is not indicative of future value.

4.2 No Regulated Financial Advice
Artsy Traders LLP does not provide regulated financial or investment advice as defined under the Financial Services and Markets Act 2000 (FSMA) and is not authorised or regulated by the Financial Conduct Authority (FCA) in respect of investment advice. Nothing on our website or in our communications constitutes a financial promotion, solicitation, or investment recommendation regulated under FSMA. You should seek independent, FCA-authorised financial and legal advice before making any investment decision.

4.3 Buyer Responsibility
All purchasing decisions remain solely with the buyer. Artsy Traders accepts no liability for any financial loss arising from investment decisions made in reliance on general information we provide, save where such loss arises from our negligence, fraudulent misrepresentation, or any other liability that cannot be excluded by law.

5. Anti-Money Laundering Compliance

5.1 Regulatory Obligations
Artsy Traders LLP is subject to the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 (MLRs 2017) and the Proceeds of Crime Act 2002 (POCA). As an Art Market Participant (AMP), we are supervised by HMRC for AML compliance purposes.

5.2 Customer Due Diligence
For any transaction at or above the equivalent of €10,000 (or multiple linked transactions that together meet or exceed this threshold), we are legally required to conduct Customer Due Diligence (CDD) before or at the point of concluding a transaction. This includes:
– Verifying your identity and, where applicable, the identity of any beneficial owner;
– Understanding the purpose and intended nature of the transaction;
– Assessing and documenting the source of funds where required.

By engaging with us for a transaction of this nature, you agree to provide all documentation we reasonably request to fulfil our legal obligations. We may be unable to proceed with a transaction where satisfactory CDD cannot be completed.

5.3 Suspicious Activity Reporting
We are required by law to report any suspicion of money laundering, terrorist financing or proliferation financing to the National Crime Agency (NCA) by way of a Suspicious Activity Report (SAR). We are prohibited by law from disclosing (tipping off) that such a report has been, or may be, made. This obligation applies regardless of transaction value.

6. Intellectual Property

All content on the Artsy Traders website — including text, images, artwork photography, logos, branding, and design — is the intellectual property of Artsy Traders LLP or its licensors and is protected under the Copyright, Designs and Patents Act 1988. You may not reproduce, distribute, modify or commercially exploit any content without our prior written consent.

7. Use of the Website

You agree not to:
Use the website for any unlawful purpose or in a manner that violates any applicable laws or regulations, including the Computer Misuse Act 1990;
Attempt to gain unauthorised access to any part of our systems or databases;
Transmit any harmful, offensive or disruptive content;
Scrape, harvest or extract data from our website by automated means;
Misrepresent your identity or affiliation.

8. Third-Party Links and Content

Our website may contain links to third-party websites or references to third-party services. These are provided for convenience only. Artsy Traders does not endorse, control or accept responsibility for any third-party content, accuracy or availability.

9. Limitation of Liability

9.1 What We Do Not Exclude
Nothing in these Terms shall limit or exclude our liability for:– Death or personal injury caused by our negligence;
– Fraud or fraudulent misrepresentation;
– Any liability that cannot lawfully be limited or excluded under the Consumer Rights Act 2015, the Unfair Contract Terms Act 1977, or any other applicable UK law.

9.2 Limitation of Other Liability
Subject to clause 9.1, and to the fullest extent permitted by law, Artsy Traders LLP shall not be liable for any indirect, incidental, consequential or special loss or damage arising from your use of our website or services. Our total liability to you in any matter arising from these Terms shall not exceed the greater of: (a) the amount you have paid to us in the preceding twelve (12) months; or (b) £500.If you are a consumer, this limitation shall not apply where it would render our liability terms unfair under the Consumer Rights Act 2015, and your statutory rights remain unaffected.

10. Accuracy of Information and Misrepresentation

While we endeavour to ensure all information on our website is accurate and up to date, we make no warranties — express or implied — regarding its completeness, accuracy or fitness for a particular purpose. Artwork descriptions, valuations and provenance information are provided in good faith but may be subject to change.We take reasonable care to ensure that all representations made in the course of our business are accurate. Any liability for misrepresentation is subject to the Misrepresentation Act 1967 and, where applicable, the Consumer Rights Act 2015.

11. Consumer Contracts and Distance Selling

Where you purchase goods or services from us at a distance (including via our website or by telephone), your rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 may apply, including a right to cancel within 14 days of receiving goods (the cooling-off period), subject to applicable exceptions.We will provide you with all required pre-contractual information before you are bound by any distance or off-premises contract. 12. Digital Markets, Competition and Consumers Act 2024

In compliance with the Digital Markets, Competition and Consumers Act 2024 (DMCC Act), we are committed to full pricing transparency. Any price quoted to you will represent the total cost of the goods or services, inclusive of all fees and charges, without hidden additions. We do not use drip-pricing practices.We also maintain a strict policy against fake or misleading reviews. All testimonials and reviews displayed on our website are genuine. We take reasonable and proportionate steps to prevent the publication of false or misleading reviews.

13. Confidentiality

Any commercially sensitive information shared between Artsy Traders and a client in the course of our engagement shall be treated as confidential by both parties. This obligation shall survive the termination of any commercial relationship.

14. Dispute Resolution and ADR

We aim to resolve any complaints or disputes promptly and fairly. If you have a complaint, please contact us in the first instance at legal@artsytraders.com. We will acknowledge your complaint within five (5) working days and endeavour to resolve it within 28 days.If we are unable to resolve a dispute to your satisfaction, you may refer the matter to an alternative dispute resolution (ADR) provider. We will provide you with details of our nominated ADR body upon request. Your right to bring proceedings before the courts of England and Wales is not affected by the availability of ADR.

15. Termination

We reserve the right to suspend or terminate access to our website or services at any time if we reasonably believe you have breached these Terms or applicable law. Where you are a consumer, we will provide reasonable notice except where immediate termination is required to prevent harm or comply with a legal obligation. Provisions of these Terms that by their nature should survive termination shall do so.

16. Governing Law and Jurisdiction

These Terms of Use are governed by the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer resident in Scotland or Northern Ireland, you may also have the right to bring proceedings in the courts of those jurisdictions.

17. Amendments

Artsy Traders reserves the right to update or amend these Terms. If we make material changes, we will provide you with reasonable advance notice (where we hold your contact details) and will clearly publish the updated Terms on our website with a revised effective date. Continued use of our services after the effective date of any changes will constitute your acceptance of the revised Terms. If you do not agree to the changes, please cease use of our services and notify us at legal@artsytraders.com.
